Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cerebion Rivet software and cerebion.com ("Services") provided by Cerebion LLC ("Cerebion", "we", "us"). By purchasing, downloading, or using our Services, you agree to these Terms on behalf of your organization.

1. License Grant

Subject to payment of applicable fees, Cerebion grants your organization a limited, non-exclusive, non-transferable license to use Cerebion Rivet for your organization's internal security assessment purposes. The number of authorized users is limited to the seats purchased.

2. Organizational License Restrictions

  • Single Organization Use: Each license is issued to one legal entity and may not be shared across affiliates or subsidiaries without a separate agreement.
  • No Consultant or MSSP Use: Consultants, contractors, and managed security service providers may not use a single license to serve multiple client organizations. Each client must purchase their own license.
  • No Service Bureau Use: You may not use the Software to provide commercial scanning or analysis services to third parties.
  • Repository Ownership: You may only analyze systems and repositories your organization owns, controls, or has explicit written authorization to analyze.

3. Restrictions

  • You may not reverse engineer, decompile, or disassemble the Software
  • You may not sublicense, sell, resell, or transfer your license
  • You may not remove or alter proprietary notices or license validation mechanisms
  • You may not use the Software to develop a competing product
  • You may not use the Software for any unlawful purpose

4. Intellectual Property

Cerebion retains all intellectual property rights in the Software. Scan results and analysis output generated by the Software are owned by you. Any feedback you provide may be used by Cerebion without restriction or compensation.

5. Subscription, Billing, and Refunds

  • SUBSCRIPTIONS AUTOMATICALLY RENEW ON A MONTHLY BASIS. YOUR PAYMENT METHOD WILL BE CHARGED AT THE THEN-CURRENT RATE AT THE START OF EACH RENEWAL PERIOD UNLESS YOU CANCEL AT LEAST 30 DAYS BEFORE YOUR RENEWAL DATE. TO CANCEL, EMAIL SUPPORT@CEREBION.COM OR CONTACT US THROUGH YOUR ACCOUNT DASHBOARD.
  • Refund Policy: You may request a full refund within 7 days of your initial purchase or renewal date. After 7 days, the current billing period is non-refundable. To request a refund, contact support@cerebion.com within the 7-day window.
  • Cancellation takes effect at the end of the current billing period. You retain access until that date.
  • Cerebion may change fees with 60 days written notice
  • You are responsible for all applicable taxes

6. Data Privacy and Telemetry

Cerebion Rivet performs all analysis locally on your infrastructure. Cerebion does not collect, receive, or store your source code, binaries, scan results, certificates, or any data from your internal systems. The only data transmitted to Cerebion servers is license validation data (license key, device fingerprint, software version, and OS type) used solely to verify active subscriptions.

If you use the optional AI fix feature, code snippets are sent directly from your device to the AI provider you configure. Cerebion is not a party to that data transmission. See our Privacy Policy for full details.

7. Third-Party AI Services

Cerebion Rivet optionally integrates with third-party AI services (including Google Gemini, Anthropic Claude, OpenAI, Azure OpenAI, and self-hosted Ollama) to provide AI-powered fix suggestions. These integrations are:

  • Optional: The AI fix feature is disabled by default and requires explicit configuration of your own API key.
  • Direct connections: Your device communicates directly with the AI provider — Cerebion does not proxy, log, or receive the content of these requests.
  • Governed by third-party terms: Your use of any AI provider is subject to that provider's own terms of service, privacy policy, and data processing agreements. Cerebion makes no representations about and accepts no liability for third-party AI provider conduct, availability, accuracy, or data handling.
  • Not a guarantee: AI-generated fix suggestions are provided for informational purposes only and must be reviewed by a qualified engineer before use in production systems.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CEREBION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CEREBION DOES NOT WARRANT THAT THE SOFTWARE WILL IDENTIFY ALL QUANTUM-VULNERABLE CRYPTOGRAPHY OR OPERATE WITHOUT INTERRUPTION.

The Binary Analyzer and other analysis modules perform static analysis only and detect known cryptographic patterns. A clean scan result does not constitute a guarantee that the analysed software is free of quantum-vulnerable cryptography. Rivet cannot detect runtime-only cryptographic constructions, custom implementations not matching known signatures, or algorithms concealed within encrypted or packed binary sections.

9. Limitation of Liability

IN NO EVENT SHALL CEREBION BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CEREBION'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cerebion from any claims arising from your use of the Software in violation of these Terms, your analysis of systems without proper authorization, or any breach of your representations herein.

11. Termination

Cerebion may terminate your license immediately if you breach any material term and fail to cure within 10 days of notice, or if you become insolvent. Upon termination, all licenses immediately terminate and you must destroy all copies of the Software.

12. Export Controls

The Software contains cryptographic analysis technology subject to U.S. Export Administration Regulations (EAR). You agree not to export, re-export, or transfer the Software to any country, entity, or person prohibited by U.S. export laws, and to comply with all applicable export control regulations.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan. Disputes shall first be subject to 30 days of good-faith negotiation, then resolved by binding arbitration under AAA Commercial Rules in Michigan. You waive any right to participate in class action proceedings against Cerebion.

14. General

  • Entire Agreement: These Terms constitute the entire agreement regarding the Software
  • Amendments: Cerebion may update these Terms with 30 days notice; continued use constitutes acceptance
  • Severability: If any provision is unenforceable, remaining provisions remain in effect
  • Assignment: You may not assign these Terms without Cerebion's written consent
